Terms of service

1. Our Services

Sanskriti Labs provides AI products, voice agent systems, workflow automation, and custom AI development services for businesses. Our current products include VELOS (AI front desk for dental clinics), Snaprint (self-service print kiosk systems), and Custom AI Systems (bespoke automation builds).

The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement signed between you and Sanskriti Labs.

2. Intellectual Property

Upon receipt of full payment for a project, the custom deliverables produced for you under that engagement become your intellectual property. This excludes pre-existing tools, frameworks, libraries, third-party APIs, and components owned by Sanskriti Labs or licensed third parties.

Sanskriti Labs retains the right to reuse general technical approaches, non-client-specific methodologies, and anonymised learnings from projects for internal development and future client work.

3. Confidentiality

We treat all client business information, operational data, and project details as strictly confidential. We do not disclose client names, project specifics, or proprietary information to third parties without your explicit written consent, except where required by law.

We expect the same discretion from clients regarding any non-public information about Sanskriti Labs, our systems, or our methodologies shared during an engagement.

4. Payment Terms

Payment terms for each engagement are specified in the signed agreement or SOW. Standard terms are 50% advance prior to work commencing and 50% upon delivery and client sign-off, unless otherwise agreed in writing.

Late payments beyond 14 days of the due date may attract a late fee of 1.5% per month on the outstanding balance. Work may be paused if invoices remain unpaid beyond 30 days.

5. Refunds

Given the custom and time-intensive nature of our services, advance payments are generally non-refundable once work has commenced. If Sanskriti Labs is unable to deliver the agreed scope due to reasons on our end, a proportional refund will be issued.

Product-specific refund policies (e.g., VELOS pilot agreements) are governed by the individual product agreement signed at onboarding.

6. Limitation of Liability

Our total liability for any claim arising from our services is limited to the amount paid by you for the specific service giving rise to the claim, in the 3 months prior to the event.

We are not liable for indirect, incidental, special, or consequential damages, including lost revenue, data loss, or business interruption, even if we have been advised of the possibility of such damages.

7. Warranties

We warrant that our services will be performed with reasonable care and skill. We do not warrant that any AI system will be error-free or that results will meet specific performance thresholds beyond those agreed in writing.

All third-party integrations (WhatsApp Business API, Zoho, PMS platforms, etc.) are subject to the terms and availability of those third-party providers. We are not liable for disruptions caused by changes to third-party services.

8. Governing Law

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

9. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes via email. Continued use of our services after such notification constitutes acceptance of the updated Terms.
